A contract requires an offer, acceptance of that offer, and consideration, meaning each side gives something of value. Both parties must have legal capacity, and the purpose must be lawful. Nothing in that list requires formal language, a lawyer, a notary, or a signature block. Oral contracts are generally enforceable, and an exchange of emails agreeing on terms can create a binding agreement, which is how people find themselves committed without believing they signed anything.

The main exception is the statute of frauds, which requires certain contracts to be in writing and signed to be enforceable. The categories vary somewhat by state but typically include contracts for the sale of land or interests in real property, agreements that cannot be performed within one year, contracts for the sale of goods above a specified dollar amount, promises to pay another person's debt, and agreements made in consideration of marriage. Even where writing is not legally required, it is practically essential, because the dispute is almost never about whether an agreement existed but about what its terms were.

What a useful contract contains beyond the legal minimum: precisely defined scope and deliverables, payment amounts and timing, what happens when either side wants out, ownership of work product and intellectual property, confidentiality where relevant, limitation of liability, and which state's law governs and where disputes are resolved. That last pair matters more than people expect, since litigating in a distant state is expensive enough to make a valid claim uneconomical. Two cautions: a clause that is unconscionable or contrary to public policy can be struck without invalidating the rest, and boilerplate templates handle the routine well and the specific badly, so anything with real money attached deserves a lawyer's review of the terms that would actually be argued about.
