What is an NDA, and should you sign one?
A non-disclosure agreement restricts what a party may do with confidential information received from the other. Unilateral NDAs bind one side, typically the party receiving information, while mutual NDAs bind both and are standard when two businesses are exploring work together. Signing a reasonable one is ordinary commercial practice and refusing on principle will cost you opportunities. The scrutiny should go to the terms rather than the existence of the document.
Four provisions determine whether an NDA is reasonable. The definition of confidential information should be specific rather than covering everything ever communicated, and should exclude information already public, independently developed, or received legitimately from a third party. The duration should be finite, commonly two to five years, with indefinite terms appropriate only for genuine trade secrets. The permitted purpose should be defined so you are allowed to actually use the information for the engagement. And the return-or-destroy obligation at termination should be practical given how modern systems retain data.
The clauses to watch for are the ones that do not belong in an NDA at all. Non-compete and non-solicitation provisions are sometimes embedded in documents presented as simple confidentiality agreements, and they restrict your ability to work in your field or hire people, which is a substantially different bargain. Assignment of intellectual property occasionally appears the same way. Also consider the practical risk to your own work: signing a broad NDA before hearing an idea can create exposure if you are already developing something similar, which is why some investors and agencies decline to sign them at the pitch stage. For anything with real value at stake, the review is worth a lawyer's time rather than a template comparison.
