What is an operating agreement, and do you need one?
An operating agreement is the internal governing document of an LLC, covering ownership percentages, how profits and losses are allocated, voting rights and decision thresholds, management structure, what happens when an owner wants out, dies, or becomes incapacitated, how new owners are admitted, and how disputes are resolved. Only a handful of states require one to be adopted, which is why so many LLCs operate without one, and why so many partnerships that started as friendships end in litigation.
Without an agreement, your state's default LLC statute governs, and those defaults are generic by design. They may allocate profits by ownership percentage even where partners contributed very differently, permit or restrict transfers in ways you would not choose, and provide no mechanism for buying out a departing member at an agreed valuation. The gap that causes the most damage is the exit provision: when one of two equal owners wants to leave, wants to sell to a third party, or simply stops contributing, the absence of a written buyout formula turns a business problem into a legal one.
Even single-member LLCs benefit, for a different reason. An operating agreement is one of the formalities that evidences the LLC as a genuinely separate entity, which supports the liability protection if it is ever challenged, and banks and other institutions frequently request one. Templates exist and are a reasonable starting point for straightforward situations, but multi-owner businesses with real assets should have counsel draft or review the document, because the provisions that matter, valuation method, deadlock resolution, and transfer restrictions, are exactly the ones generic templates handle poorly.
