What is a retainer, and how should you structure one?

A retainer is a recurring arrangement in which a client pays a set fee per period. Two distinct models get the same name. A true retainer pays for availability and priority access, common in legal and advisory work, where the client is buying the guarantee that you will be there. A scope retainer pays for a defined bundle of work each month, which is the more common structure in marketing, design, and consulting. Confusing the two is the source of most retainer disputes, because the client believes they bought unlimited access and the provider believes they sold a fixed quantity of work.

Structure the agreement around outputs rather than hours wherever possible, since hourly retainers reward inefficiency and invite line-item scrutiny of your time. Define explicitly what is included, what is out of scope and billed separately, response time expectations, and how unused capacity is treated, since rolling hours forward indefinitely creates an accumulating liability. Set the term and a notice period, commonly 30 to 60 days, so neither side can end it abruptly. Bill in advance rather than in arrears, which is standard for retainers and solves most cash flow problems at once.

The failure mode to guard against is scope creep, which arrives gradually as small requests that individually seem unreasonable to refuse. The defense is a written scope, a habit of noting when a request falls outside it rather than absorbing it silently, and a periodic review of what was actually delivered against what was contracted. Retainers are worth pursuing because predictable recurring revenue is worth more than the same amount in project work, both for planning and for the valuation of the business, but a retainer that quietly expands into unlimited work at a fixed price is worse than the project billing it replaced.
